More than 25 years experience
Law office Cakarovska exists more than 25 years and has its seat in Skopje.
The office employs several lawyers and professional associates, in charge of different areas of law, who constantly face different challenges in a pleasant working atmosphere. The founder of Chakarovska Law Office is Danche Chakarovska, lawyer, registered representative for the protection of intellectual property rights at the State Office for Industrial Property and registration agent at the Central Registry of the Republic of Macedonia, with more than 25 years of experience in the field of law.
The Chakarovska law office offers its clients complete legal assistance in various areas of law, especially in the interpretation and application of legal regulations in the field of business law and company law.
Our legal services cover everything from technical administrative work to complex contracts and court proceedings.
At the same time, our law office is among the few in Macedonia that has represented over 800 legal and natural persons before the European Court of Human Rights in Strasbourg, with a high percentage of success. We also possess the necessary licenses to work before the CRRM and DZIS, and we do most of our work with the institutions through official electronic means, which allows us to provide fast service to customers.
The law office carries out its activities throughout the territory of the Republic of Macedonia, and in the case of legal matters resulting from agreements with an international element, we have established cooperation with foreign law offices, as well as representation before the European Court of Human Rights in Strasbourg. We provide services in Macedonian and English, and for other languages we cooperate with authorized court translators.
Services
Business law Our commitment to maintaining and developing a wide range of areas of work allows us to offer legal assistance to companies in every domain of their operations, as well as legal opinions, analysis and advice on corporate governance. Our specialty is the creation of a comprehensive assessment of the possible legal risks related to corporate status, claims, contracts, securities, intellectual property, etc. of a company – a process known as in-depth analysis of the whole (Legal Due Diligence).
Such a process gives a company a better position in negotiations with other parties, for example in the case of acquisitions and mergers, but also helps to identify, manage and avoid risks arising from the daily course of business operations. Representation in business negotiations and drafting of business (B2B) contracts, such as mergers and acquisitions, business cooperation and joint venture, is another specialty of the Chakarovska law office.
Such agreements often have a foreign element, and that is why we draw them up according to European and international legal standards, taking into account the law of international organizations and the law of the EU. We are among the few law firms in Macedonia that know European business law and this allows us to offer clients a reliable, complete, long-term solution even when it comes to complex contracts with a foreign element. In addition to drafting such contracts, we also draft legal opinions on existing contracts and legal opinions on the applicable legislation, as well as representation in court in case of a dispute related to the contract.
Considering the daily activities in the business and legal turnover, a large number of companies decide to act as their permanent external advisors for all legal and business issues with which they are kept in the course of their operations, regardless of whether the same companies have their own legal department or not. With this move, companies gain greater legal certainty and a better position in relation to their competitors.
This constitutes the so-called process of corporate management where we appear as consultants in all phases of a company's existence – from the investment of founding capital, system of management bodies, to consulting on corporate finance using a wide range of legal and financial instruments. At the moment, we act as permanent external legal advisors to the most famous companies in the information, publishing, food and trucking industries in Macedonia.
Trade law Law office Chakarovska has extensive experience in creating business ventures through mergers and takeovers of domestic companies by foreign investors, establishment of trading companies, status changes (merger, merger and division) and reorganization of companies, VAT registration, opening of accounts, establishment subsidiaries and other activities necessary for starting and improving the operation of a company. Most of these activities are carried out in the CRM, which requires a Registration Agent license. Our office holds this license since 2007. Also since 2013,
part of such changes are made electronically, for which our office is fully technically equipped and trained, which leads to a reduction in costs and time for the implementation of such activities.
We also have a lot of experience in deciding to terminate business activity, whether it is voluntary through liquidation or forced through bankruptcy. In both cases, we apply all legal means to ensure a safe and clean termination of the company's business activity. On the other hand, we also represent with great success creditors who have claims against a company in bankruptcy.
One of our specialties is the internal corporate management of a trading company. This includes decisions of the company that govern the relations between partners/shareholders, rights of minority shareholders, decisions on large deals, on the transfer of share, on the acquisition of own shares of the company, change of statute or contract for the company, etc. We currently provide these legal services daily (flat rate) to the most famous companies in the truck, IT, publishing and food industries in Macedonia.
When it comes to commercial law with a foreign element, our law office has participated in several ventures of foreign trading companies, opening representative offices and subsidiaries of foreign companies. One of the most significant experiences in this area is the founding and giving daily legal advice to one of the most successful USAID foundations in Macedonia, which operates in the field of entrepreneurship. We successfully cooperate with this foundation even today.
Resolving commercial disputes is another important area in the practice of our office. We represent our clients in court proceedings involving various types of disputes before courts at all levels. Over the years, our team has gained a wealth of experience so that today it can quickly deal with complex commercial disputes.
Labor relations The Chakarovska law office provides legal services in all spheres of labor relations. Our services consist of drawing up employment contracts, management contracts in accordance with international standards and experiences, preparation of general acts (work regulations, disciplinary procedure, systematization of jobs, etc.), statutes, decisions in the field of labor relations, and including registration and deregistration of workers, as well as other procedures before the administrative and judicial authorities of the Republic of Macedonia.
For the needs of our foreign clients, we often carry out the procedure for obtaining work permits and employment of foreigners, including obtaining work permits for relocated workers from abroad.
Among other things, our law office also offers services that consist of interpretation of legal regulations, counseling in the field of labor relations regarding the rights and obligations of employers and workers, employment of persons with the help of measures to encourage employment, participation in the process of reducing the number of employees for business reasons, as well as implementing and leading disciplinary procedures for determining the employee's disciplinary responsibility.
Construction Our law office offers a full service when it comes to construction, from the very beginning of concluding a construction contract, all the way to obtaining a use permit. We have experience in drafting and concluding contracts for construction and joint construction.
We also participate in procedures for the legalization of illegally built buildings and in procedures for expropriation.
Collection of claims It often happens that one party in a contractual relationship is left without his part of the agreed upon. To avoid this situation, we take two types of measures: preventive and repressive.
From the preventive measures, we can offer different legal means such as background check of the contracting party, preparation of a pre-contract, insertion of an enforceable clause in the contract and others. We are specially trained in drawing up a contract for insurance of claims, a contract for securing claims, as well as advising on factoring. The main goal of these measures is to reduce or eliminate the risk of breaching the agreement. For this reason, we always recommend that they be present, of course with content adapted to the specific circumstances of the case.
Of the repressive measures, we are implementing the procedure for making a decision allowing execution based on a reliable document - payment order. For a more efficient implementation of this procedure, we have cooperation with notaries and bailiffs competent for different areas in Macedonia. If such a procedure ends up with a competent court, we take all legally available means to end that procedure quickly and in favor of the client. In this area, we have a lot of experience gained through the submission of several hundred payment orders per month, as representatives of one of the Macedonian telecommunication operators.
On the other hand, we also submit objections against a payment order, in the event that one party considers the other party's request to be unjustified. Considering the large number of payment orders, we are very well acquainted with the procedure and the evidence, and this gives us an advantage in the procedure after an objection against a payment order.
Industrial property Industrial property is of exceptional importance for commercial companies, as it is a method of gaining recognition in the market. Law office Chakarovska has extensive knowledge and experience in this area and offers various services in order to achieve top results.
As a registered representative for the protection of industrial property rights, the Chakarovska Law Office offers services for the protection and realization of these rights. This includes advising on the protection of ideas, concepts, know-how, trademarks and patents, trade names and copyrights, as well as their registration by submitting an application to the competent institutions, conducting the procedure up to the final registration of industrial rights. property. Taking into account the time limitation of these rights, we monitor the industrial property right and, in consultation with the client, renew the protection of the corresponding right.
Especially in the field of trademark registration, our office has many years of experience, including successfully completed procedures for the protection of trademarks that the State Office initially considered to be 'not sufficiently distinctive' and protection of trademarks before World Intellectual Property Organization – WIPO.
In addition to the protection of industrial property rights before competent institutions, these rights can also be protected through contracts. For this purpose, we draw up various agreements, such as a copyright protection agreement, a trademark protection clause in a business cooperation agreement, as well as an agreement for the transfer of intellectual property rights.
Even when all preventive measures are taken, it often happens that industrial property rights are violated, and in this case we offer innovative and strategic solutions and use various legal means to remove the violation, such as a warning letter , settlement, lawsuit and others. Our law office has a large percentage of successfully completed disputes in the field of industrial property, especially in disputes related to trademark infringement.
Property Property is one of the areas that, if not well arranged, can cause major problems in business, but also in everyday life. Therefore, it is important that ownership relations and rights are regulated by a contract, and for this purpose, our office prepares a variety of contracts in this area, such as a contract for sale, gift, exchange, lease, division of property during marriage, and others. .
Our contracts are comprehensive and legally sound, which eliminates the risk of a dispute. At the same time, with the latest amendments to the law, contracts for the purchase and sale of real estate and movable property with a value over 10,000 euros must be drawn up by a lawyer.
In case of a dispute regarding the right of ownership, we have extensive experience in representing in court in cases of impaired ownership or possession, as well as other real rights.
Law on obligations The Chakarovska law office has several decades of experience in drawing up and implementing a variety of contracts that govern the relationships between two or more people.
Regulating relations between people before starting any activity is essential both for efficient implementation of the work and for reducing the chances of disagreements. For this reason, we strive to conclude contracts and for this purpose we create various contracts in the field of ownership, business cooperation and construction, as well as contracts for work, for services, deposit, license, commission, representation, cession, set-off and others, but also unnamed contracts for specific relationships such as factoring and franchising.
We also offer legal services when there are disagreements regarding a specific matter, in order to protect the client's interests and fulfill the agreed upon. In this area, we have a large percentage of successfully concluded out-of-court settlements and successfully completed court proceedings, even in the absence of a written agreement.
However, we remind you once again that it is very useful to conclude a contract in the legally prescribed form before starting any business cooperation.
Family and inheritance law This area of law penetrates into sensitive and intimate parts of life. With this in mind, our law office conducts such procedures with a high level of confidentiality and understanding towards clients. This implies that we take all measures in order to complete the procedure faster, easier and more peacefully, and at the same time to reach a long-term and legally supported solution.
These include the procedures for divorce by agreement or by lawsuit, division of property after divorce, exercise of parental rights over minor children, guardianship and adoption. In order to regulate the unclear property relations that arise in marriage, we draw up agreements for the regulation of property relations during marriage.
In the area of inheritance law, we obtain the necessary documents and carry out the probate procedure before a competent authority and draw up wills and agreements for the division of property during life.
Representation before courts The experience of our law office in acting before the courts in the territory of the Republic of Macedonia is evidenced by the fact that we have acted as attorneys and representatives of many natural persons and large domestic and foreign legal entities. The high percentage of received disputes and satisfied customers speaks for our efficient operation, expertise and ability.
Knowledge of court procedures (civil, administrative and criminal) is the result of daily professional work and monitoring of court practice and amendments and additions to legal decisions, all with the aim of protecting the client's interests. This includes visiting seminars with the aim of exchanging opinions and gaining experience, as well as providing ideas for improving the Macedonian legal system.
This allows us to use all available means in the procedure and reach a court decision that is in favor of the client.
ACTIVITIES
Having in mind the practical experience which our law office has, and due to the network of contacts which we have created during the years, we often receive invitations for lectures and seminars from different organisations, associations and other hosts of seminars and trainings. Considering the element of social responsibility of our law office, we gladly accept such invitations and we try transfer our knowledge to new generations.
